AGREEMENT TO OUR LEGAL TERMS

These Legal Terms (“Terms”) constitute a binding agreement between Wlinky from Vegoogin LTD, a private limited company incorporated under the laws of the United Kingdom (the “Company,” “we,” “us,” or “our”), and you, whether as an individual or acting on behalf of a legal entity (“you” or “User”), governing your access to and use of the Services.

Our VAT registration number is 25918 02581. Our principal place of business is located at 86–90 Paul Street, London EC2A 4NE, United Kingdom. We operate the website https://wlinky.com (the “Site”), as well as all associated applications, platforms, digital tools, and any other services referencing these Terms (collectively, the “Services”).

Acceptance of Terms

By accessing, browsing, registering for, or otherwise using the Services, you confirm that you have read, understood, and agreed to be legally bound by these Terms and all applicable laws and regulations. If you do not agree with all of these Terms, you are expressly prohibited from using the Services and must immediately cease access and use.

You further acknowledge that:

These Terms shall apply to all visitors, registered users, and any other individuals or entities accessing the Services;
Supplemental policies, guidelines, and documents published by us, including but not limited to our Privacy Policy and Prohibited Content Policy, are hereby incorporated by reference and shall form part of this binding agreement.

About Wlinky

Wlinky is a web-based software-as-a-service (SaaS) platform that enables users to create and manage digital assets such as:

Bio link pages;
Shortened URLs with tracking analytics;
Dynamic and static QR codes;
Digital business cards (vCards), EventLinks, and multimedia content blocks;
Additional online tools for branding, sharing, and analytics.

Our Services are designed for both individual and commercial use and are accessible globally, subject to applicable laws.

User Responsibilities

You agree to:

Use the Services solely for lawful purposes and in accordance with these Terms;
Ensure that all data, content, links, media, or files you upload, publish, or share through the Services comply with applicable laws and our policies;
Refrain from engaging in or facilitating any activity that may violate the rights, safety, or reputation of others or the integrity of our platform.

You acknowledge that you are solely responsible for all actions taken through your account and for maintaining the confidentiality of your login credentials.

Account Registration and Payment Obligations

Access to certain functionalities of the Services may require you to register an account and/or subscribe to a paid plan. By doing so, you agree to:

Provide accurate, complete, and up-to-date account and payment information;
Maintain valid payment methods and authorize recurring billing where applicable;
Comply with the payment and renewal terms disclosed at the time of subscription.

We reserve the right to suspend or terminate access to the Services in the event of non-payment, fraudulent activity, or breach of these Terms.

Data Processing and Privacy

Your use of the Services is also subject to our Privacy Policy, which governs the manner in which we collect, use, disclose, and safeguard your personal data. By accessing or using the Services, you consent to the processing of your data as described therein, including transfers to jurisdictions outside your country of residence.

Limitation of Liability

To the maximum extent permitted by applicable law, Wlinky and Vegoogin LTD shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to:

Loss of profits or revenue;
Data loss or corruption;
Business interruption;
Unauthorized access to your account or content;
Service outages or system failures.

Our total cumulative liability, if any, shall in no event exceed the total amount paid by you to Wlinky for the Services during the six (6) months preceding the event giving rise to the claim.

Modifications to Terms

We reserve the right, in our sole and absolute discretion, to modify, update, or replace these Legal Terms at any time. Notice of material changes will be provided via the Site or email, and the “Last Updated” date will be amended accordingly.

Your continued use of the Services after any such modifications constitutes your binding acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

Minors

The Services are not intended for use by individuals under the age of majority in their jurisdiction of residence unless supervised and authorized by a parent or legal guardian. If you are a minor, your parent or legal guardian must read and accept these Terms on your behalf.

Governing Law and Jurisdiction

These Legal Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England, unless otherwise required by applicable consumer protection laws.

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

2. INTELLECTUAL PROPERTY RIGHTS

Our intellectual property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

Our Content and Marks are protected by copyright and trademark laws (and various other intellectual property rights and unfair competition laws) and treaties in the United States and around the world.

The Content and Marks are provided in or through the Services "AS IS" for your personal, non-commercial use or internal business purpose only.

Your use of our Services

Subject to your compliance with these Legal Terms, including the "Prohibited Activities" section below, we grant you a non-exclusive, non-transferable, revocable license to:

access the Services; and
download or print a copy of any portion of the Content to which you have properly gained access

solely for your personal, non-commercial use or internal business purpose.

Except as set out in this section or elsewhere in our Legal Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

If you wish to make any use of the Services, Content, or Marks other than as set out in this section or elsewhere in our Legal Terms, please address your request to: [email protected]. If we ever grant you the permission to post, reproduce, or publicly display any part of our Services or Content, you must identify us as the owners or licensors of the Services, Content, or Marks and ensure that any copyright or proprietary notice appears or is visible on posting, reproducing, or displaying our Content.

We reserve all rights not expressly granted to you in and to the Services, Content, and Marks.

Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.

Your Submissions and Contributions

Please review this section and the "Prohibited Activities" section carefully prior to using our Services to understand the:

(a) rights you give us, and
(b) obligations you have when you post or upload any content through the Services.

Submissions

By directly sending us any question, comment, suggestion, idea, feedback, or other information about the Services ("Submissions"), you agree to assign to us all intellectual property rights in such Submission.

You agree that we shall own this Submission and be entitled to its unrestricted use and dissemination for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.

Contributions

The Services may invite you to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality during which you may create, submit, post, display, transmit, publish, distribute, or broadcast content and materials to us or through the Services. This includes but is not limited to:

writings
video
audio
photographs
music
graphics
comments
reviews
rating suggestions
personal information
or other material ("Contributions").

Any Submission that is publicly posted shall also be treated as a Contribution.

You understand that Contributions may be viewable by other users of the Services and possibly through third-party websites.

When you post Contributions, you grant us a license

By posting any Contributions, you grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and license to:

use, copy, reproduce, distribute, sell, resell, publish, broadcast, retitle, store, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part), and exploit your Contributions (including, without limitation, your image, name, and voice) for any purpose, commercial, advertising, or otherwise;
prepare derivative works of, or incorporate into other works, your Contributions;
sublicense the licenses granted in this section.

Our use and distribution may occur in any media formats and through any media channels.

This license includes our use of your name, company name, and franchise name, as applicable, and any of the trademarks, service marks, trade names, logos, and personal and commercial images you provide.

You are responsible for what you post or upload

By sending us Submissions and/or posting Contributions through any part of the Services or making Contributions accessible through the Services (e.g., linking your social media accounts), you:

Confirm that you have read and agree with our "Prohibited Activities" and will not post, send, publish, upload, or transmit through the Services any Submission or Contribution that is:
illegal
harassing
hateful
harmful
defamatory
obscene
bullying
abusive
discriminatory
threatening to any person or group
sexually explicit
false
inaccurate
deceitful
misleading
To the extent permissible by applicable law, waive any and all moral rights to such Submission and/or Contribution.
Warrant that any such Submission and/or Contributions are original to you or that you have the necessary rights and licenses to submit such Submissions and/or Contributions and that you have full authority to grant us the above-mentioned rights.
Warrant and represent that your Submissions and/or Contributions do not constitute confidential information.

You are solely responsible for your Submissions and/or Contributions, and you expressly agree to reimburse us for any and all losses we may suffer because of your breach of:

(a) this section
(b) any third party’s intellectual property rights
or (c) applicable law

We may remove or edit your Content

Although we have no obligation to monitor any Contributions, we shall have the right to remove or edit any Contributions at any time without notice if, in our reasonable opinion, we consider such Contributions harmful or in breach of these Legal Terms. If we remove or edit any such Contributions, we may also suspend or disable your account and report you to the authorities.

Copyright Infringement

We respect the intellectual property rights of others. If you believe that any material available on or through the Services infringes upon any copyright you own or control, please immediately refer to the "COPYRIGHT INFRINGEMENTS" section below.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Legal Terms; (4) you are not a minor in the jurisdiction in which you reside, or if a minor, you have received parental permission to use the Services; (5) you will not access the Services through automated or non-human means, whether through a bot, script or otherwise; (6) you will not use the Services for any illegal or unauthorized purpose; and (7) your use of the Services will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).

4. USER REGISTRATION

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

5. PURCHASES, SUBSCRIPTIONS

We accept the following forms of payment:

You agree to provide accurate and current billing details for all purchases made through Wlinky. You must promptly update your information (email, payment method, card expiry date) to avoid service disruption. Prices may be updated without prior notice. Applicable taxes may be added based on your location and legal requirements. All payments are charged in US dollars (USD).

We reserve the right to cancel, limit, or refuse any order or subscription at our sole discretion. This includes but is not limited to suspected fraud, resale activity, or abnormal usage patterns. Such orders may be restricted by account, email, IP address, billing/shipping address, or payment method.

Subscriptions & Auto-Renewal

Wlinky operates on a subscription-based model. Your subscription will automatically renew at the end of each billing cycle unless canceled before the renewal date. You authorize us to charge your payment method on a recurring basis without requiring your further approval, unless canceled.

The duration of the billing cycle (e.g., monthly or yearly) is determined by the subscription plan you select at the time of purchase. You may view or manage your subscription by logging into your Wlinky account dashboard.

Free Trial

New users may be eligible for a [7-day] free trial. After the trial period ends, your account will be charged according to the selected subscription plan unless you cancel before the end of the trial. We do not send reminders before the trial ends. It is your responsibility to manage cancellations prior to billing.

Cancellation Policy

You can cancel your subscription at any time through your Wlinky account. The cancellation will take effect at the end of the current paid billing period. No further charges will occur, but you will not receive a refund for any unused time.

6. REFUND POLICY

All payments made to Wlinky are considered final. We do not offer refunds or partial credits except in very limited cases of:

Verified technical malfunction caused by Wlinky’s systems.
Duplicate billing or accidental overcharge directly caused by our platform.

Refunds will not be issued under the following conditions:

You forgot to cancel your subscription before renewal.
You didn’t use the service or were dissatisfied after purchase despite having access.
You misused the platform, violated our terms, or had your account restricted due to suspicious activity.
You attempted to exploit the refund system or filed a chargeback without contacting our support team first.

All refund requests must be submitted to [email protected] within 7 days of the charge and must include specific details and documentation. We reserve the full right to deny or approve refunds based on the evidence provided.

Submitting fraudulent or repetitive refund claims may result in permanent account suspension and denial of future service.

Fair Use & Security Violations

We reserve the right to suspend or terminate access to Wlinky if we suspect abuse, automated actions (bots, scripts), unauthorized sharing of accounts, or attempts to circumvent fair usage limits. If your subscription is terminated due to such violations, you are not entitled to a refund.

Affiliate and Referral Abuse

Any unnatural traffic behavior — such as fake clicks, auto-redirects, non-human traffic, or use of incentive-based click farms — is strictly prohibited. We reserve the right to:

Block or remove the user account associated with the abuse.
Withhold referral rewards and disable access to affiliate tools.
Request verifiable proof of traffic origin (e.g., screenshots, analytics, UTM tags).

Repeated violations may lead to permanent suspension and denial of any pending payouts.

7. SOFTWARE

We may include software for use in connection with our Services. If such software is accompanied by an end user license agreement ("EULA"), the terms of the EULA will govern your use of the software. If such software is not accompanied by a EULA, then we grant to you a non-exclusive, revocable, personal, and non-transferable license to use such software solely in connection with our services and in accordance with these Legal Terms.

Any software and any related documentation is provided "AS IS" without warranty of any kind, either express or implied, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. You accept any and all risk arising out of use or performance of any software. You may not reproduce or redistribute any software except in accordance with the EULA or these Legal Terms.

8. PROHIBITED CONTENT AND ABUSE POLICY

To maintain a safe, secure, and lawful environment for all users, Wlinky enforces a strict policy against the creation, use, or distribution of any prohibited content or abusive behavior on our platform. This section defines the types of content and activities that are expressly forbidden when using Wlinky’s services, tools, or features.

By using Wlinky, you agree not to use our Services in any way that involves, promotes, or links to content, materials, files, services, or websites that fall under the following prohibited categories:

1. Pornographic and Sexually Explicit Content

Wlinky strictly prohibits the use of its services to publish, distribute, or link to:

Pornographic material, including videos, images, drawings, or animations;
Sexually explicit content, whether real or simulated;
Content promoting sexual acts, escort services, or adult dating platforms;
Content involving nudity intended for arousal or adult entertainment purposes;
Sexually suggestive material involving minors (real or fictional), which is a criminal offense and will be reported to relevant authorities;
Links or media that redirect to adult websites, cam sites, porn platforms, or NSFW communities;
Sexual fetish content or non-consensual imagery, including voyeurism, revenge porn, or “deepfakes.”

This applies to all links, redirects, shortlinks, images, videos, embedded widgets, and uploaded files hosted or passed through Wlinky.

2. Gambling, Betting, and Lottery-Related Content

Wlinky prohibits the use of its platform to promote or facilitate:

Online gambling services, including casinos, sportsbooks, poker, or lottery platforms;
Betting-related content, predictions, tipster services, or affiliate links to betting providers;
Fantasy sports contests with cash prizes;
Non-compliant lottery or raffle promotions;
Links that redirect to gambling websites, even if hosted in countries where it is legal;
Downloadable or embedded betting software or scripts;
Promotional materials for betting influencers or streamers.

Any user who attempts to cloak or hide gambling-related URLs will be permanently banned, and their data may be submitted to security databases.

3. Phishing, Impersonation, and Fraudulent Behavior

Wlinky has a zero-tolerance policy toward:

Phishing pages that imitate login screens or official websites to steal credentials;
Fake login pages, account verification forms, or OAuth impersonation;
Fake surveys, quizzes, or giveaways designed to deceive users and collect private data;
Impersonation of brands, celebrities, governments, or financial institutions;
Fake cryptocurrency or NFT promotions, including “airdrop” scams and fake wallet integrations;
Links or images intended to mimic government websites or legal authorities;
Attempting to trick users into entering payment or banking details via deceptive links or redirects.

We actively monitor and block such content through automated and manual moderation systems and cooperate with third-party abuse networks to report violators.

4. Malware, Exploits, and Harmful Downloads

You may not use Wlinky to distribute, host, or reference:

Malware, trojans, spyware, ransomware, or any malicious software;
Exploit kits, shell scripts, viruses, or infected executables;
Links that lead to drive-by downloads or auto-executing files;
QR codes that redirect users to harmful pages;
Embedded code that triggers unauthorized downloads;
Files that exploit browser vulnerabilities or social engineering methods;
URL shorteners that mask payload delivery or malware redirection.

All file links are subject to inspection using VirusTotal, IPQualityScore, and AI-based malware analysis tools.

5. Deceptive or Manipulative Behavior

You may not:

Use misleading titles, thumbnails, or descriptions to trick users into clicking;
Publish links with deceptive previews or fake URL text;
Disguise affiliate links as genuine URLs without disclosure;
Promote “get-rich-quick” schemes, fake investments, pyramid schemes, or multilevel marketing (MLM);
Use shortened links in paid traffic farms, clickjacking, or coercive ads;
Redirect users to unintended content using meta-refresh, JavaScript, or chained redirects.

Trust and transparency are core principles of Wlinky, and deceptive techniques erode the platform’s integrity.

6. Illegal or Dangerous Content

You may not use Wlinky to host or promote:

Terrorist content, propaganda, or materials that incite violence;
Promotion or glorification of self-harm, suicide, eating disorders, or other harmful behaviors;
Drug trafficking, illegal substance promotion, or paraphernalia distribution;
Weapons sales, instructions on weapon manufacturing, or illegal modifications;
Human trafficking, exploitation, or any form of modern slavery;
Content violating international sanctions, trade controls, or restricted export laws.

Content uploaded or shortened on Wlinky must comply with applicable laws in the UK, the user’s jurisdiction, and international regulations.

7. AI-Banned and Moderated Content

As part of our safety systems, Wlinky integrates advanced AI moderation (text, image, video) to detect and prevent:

Hate speech, including racist, homophobic, or xenophobic content;
Harassment, bullying, or stalking;
Graphic violence or gore imagery;
Sexual solicitation and grooming behaviors;
Misinformation that poses public safety risks.

We reserve the right to block or delete any content, link, or file flagged by our moderation systems, even without user complaint.

8. Circumvention and Evasion

You may not attempt to:

Bypass moderation or detection filters (e.g., by changing domain spelling or using image-based text);
Use base64, JavaScript, or QR code tricks to mask links;
Modify user agents or headers to disguise bot activity;
Share accounts or create new ones after being banned;
Exploit the refund system or abuse report mechanisms to harass others.

All such behavior is logged and may lead to permanent platform bans and reporting to authorities.

9. Enforcement and Penalties

Violations of this policy may result in:

Immediate deletion of links, files, or user content;
Temporary or permanent account suspension;
Withholding of payouts or disabling affiliate features;
Reporting of your IP and content to anti-abuse networks (Spamhaus, Google Safe Browsing, etc.);
Legal action under applicable laws.

Wlinky reserves full discretion in interpreting and enforcing this policy. Users are not entitled to refunds if their content violates these terms.

10. Reporting Violations

If you encounter a link or page that appears to violate this policy, please report it immediately:

Please include the full URL and a description of the issue. Reports are reviewed within 24–48 hours, and appropriate action is taken promptly.

This Abuse Policy applies to all users, content types (URLs, files, text, images), and usage contexts (paid, free, trial). By continuing to use Wlinky, you agree to comply with this policy in full. Failure to do so may result in permanent removal from the platform and potential legal consequences.

9. USER GENERATED CONTRIBUTIONS

Wlinky provides users with the ability to create and share a variety of content through its Services, including but not limited to:

Shortened links
Bio links
QR codes
vCards
EventLinks
Custom profile blocks
Text, images, and videos

These user-generated items (collectively, “Contributions”) may be publicly viewable through Wlinky or accessible via third-party platforms (e.g., search engines or shared links). Therefore, any Contributions you submit or publish via Wlinky are considered non-confidential and non-proprietary.

By creating or submitting Contributions, you represent and warrant that:

You own the rights or have the necessary permissions to use and share the content, and your Contributions do not infringe on any third-party intellectual property rights (e.g., copyright, trademark, patents).
You authorize Wlinky and its users to display, share, or distribute your Contributions within the scope of the platform.
You have obtained consent from any identifiable individuals appearing in your Contributions.
Your Contributions are truthful, accurate, and not misleading.
Your Contributions are not spam, unauthorized promotions, pyramid schemes, or mass mailings.
Your Contributions are not offensive, harassing, violent, defamatory, or otherwise inappropriate.
Your Contributions do not threaten, ridicule, or intimidate any individuals or groups.
Your Contributions comply with applicable laws and regulations, including data privacy, advertising, and consumer protection laws.
Your Contributions do not violate the rights of minors or promote harmful behavior.
Your Contributions do not contain hate speech or offensive commentary based on race, gender, sexual orientation, disability, or nationality.
Your Contributions do not violate these Legal Terms or link to content that does.

Any misuse of the platform or Contributions that violate these terms may result in suspension or permanent termination of your Wlinky account.

10. CONTRIBUTION LICENSE

By posting or submitting any content (such as bio links, QR codes, shortened URLs, EventLinks, vCards, text, images, or other user-generated items) through any part of the Wlinky platform, you automatically grant us a global, unrestricted, irrevocable, perpetual, non-exclusive, fully-paid, royalty-free, and transferable license to:

Host, use, copy, reproduce, display, publish, broadcast, distribute, store, cache, archive, and share your Contributions;
Modify, reformat, translate, excerpt, or create derivative works from them;
Use your name, image, voice, logo, or branding (if included in your Contributions);
Sublicense any of these rights to trusted third parties.

This license applies across all media, formats, and technologies — existing now or developed in the future — and for any purpose, including commercial or marketing use.

You retain full ownership of your content and intellectual property. We do not claim ownership of your Contributions.

However, by using Wlinky, you agree that:

We may edit, re-categorize, or remove your Contributions at any time, for any reason, without notice.
We are not responsible for the content of your Contributions, nor do we endorse any opinions contained in them.
You are fully responsible for any content you publish or submit through Wlinky and waive all moral rights associated with those Contributions.

11. THIRD-PARTY WEBSITES AND CONTENT

Wlinky may include links to third-party websites, tools, or embedded content ("Third-Party Content") — such as videos, graphics, social sharing buttons, payment providers, affiliate banners, or external apps.

We do not control or review Third-Party Websites or their content and are not responsible for:

Accuracy or reliability of external content;
Privacy practices or policies of third-party sites;
Any harm, loss, or damage resulting from your interaction with such websites.

Accessing or using any third-party content or services via Wlinky is at your own risk. You should review the privacy policies, terms of use, and refund/return conditions of any third-party services or websites you interact with.

We do not endorse or guarantee any third-party offerings unless explicitly stated. If you make a purchase or share personal data on a Third-Party Website, that transaction is strictly between you and the provider — not with Wlinky.

You agree to hold us harmless from any issues, damages, or disputes arising from your use of any third-party products, services, or websites.

12. ADVERTISERS

Wlinky may allow third-party advertisers to display ads in designated areas of the platform — such as banner placements, sidebars, or promotional sections.

Please note:

We only provide the space for such advertisements.
We do not endorse, control, or take responsibility for the products or services advertised.
Any interactions or transactions you make with advertisers are strictly between you and the advertiser.
